Claxon Media Web Publisher Terms & Conditions

By applying to become a web publisher in the Claxon Media network you must agree to all of the terms and conditions listed on this page. If you do not agree and accept all of the terms listed here than do not apply to the Claxon Media network. If Claxon Media makes any changes to these terms you will be updated via email, a notification on your member's login page, and by a notice on this page.

Participating in the Claxon Media network:

Participation in the network is subject to Claxon's approval of your web property and your ongoing compliance with the policies listed on this web page. Claxon reserves the right to refuse participation in its network to any applicant or active participant at any time in its sole discretion. You must be 18 years of age to participate in the Claxon Media network. All correspondence with Claxon relating to the terms and conditions of participating in the Claxon network must be in writing or email.

You represent and warrant that all of the information provided by you to Claxon Media to enroll in the Claxon Media network is accurate and current; that you are the owner of each web property or that you are legally authorized to act on behalf of the owner of such web properties for the purposes of this agreement. You further represent and warrant that each web property and any material displayed therein: comply with all applicable laws, statutes, ordinances and regulations; do not breach any rights of any person or entity including rights of intellectual property, publicity or privacy; and are not pornographic, hate-related or violent in content.

Participant's Responsibilities:

You are solely responsible for the content, management, and accessibility of the website(s) running advertising for the Claxon network, including the proper placement of Claxon's advertisements, and compliance to the terms of this Agreement. Claxon will continually and periodically monitor your web property for any activity that may violate this agreement, including, but not limited to, the use of any type of software or web based application to generate or simulate page views, ad impressions, or click throughs. or any engagement in any activity prohibited by this agreement. Claxon is not responsible for anything related to your web properties, including, without limitation, the transmission of data between your web properties and Claxon. In addition, Claxon shall not be obligated to provide notice to you in the event that ads are not being displayed properly to end users of your web properties.
All Claxon Media ads must be above the fold and completely visible upon the opening of your pages.

Web Publisher Payment:

Web publishers accruing earnings equal to or above $25.00 from displaying ads on the Claxon Media network shall be paid approximately bi-weekly (every 14 to 15 days) after the end of each 2 week pay period. Claxon Media will strive to, but not expressly guarantee, that web publisher payments will be disbursed on or about the 15th and 30th (or 31st) of each month. Web publishers will have the option of raising their minimum payment rate above the $25.00 threshold by requesting such a change in writing (including e-mail) and receiving a positive response from Claxon Media. Approved methods of payment are check, bank wire, and PayPal. Bank wire and PayPal transactions are subject to fees issued by the respective institutions and such fees will be deducted from the web publishers earnings. By default, all web publisher payments will be sent by check. The web publisher is solely responsible for providing and maintaining accurate contact and payment information associated with your account. For United States taxpayers, this information includes a valid U.S. tax identification number and a fully completed Form W-9. For non-United States taxpayers, this information includes either a signed certification that the taxpayer does not have USA business activities as required by the U.S. tax authorities. Web publisher is solely responsible to make payment of all applicable taxes or charges imposed by any government entity in connection with your participation in the Claxon Media network. Payment shall be calculated solely based on records maintained by Claxon Media. No other statistics of any kind shall be valid or have any effect under this agreement. Web publisher payments made by Claxon Media and subsequently passed on to any third party are the sole responsibility of the web publisher.

Claxon Media shall not be liable for any payment based on fraudulent impressions generated by any person, bot, automated program or similar device as reasonably determined by Claxon Media; ads benefiting charitable organizations (ie. default ads); Claxon Media ads for its own services; or (impressions or clicks co-mingled with a impressions clicks, or as a result of any other breach of this agreement by you for any applicable pay period. Claxon Media reserves the right to withhold payment due to any of the foregoing or any breach of this agreement by you, pending Claxon Media's reasonable investigation.

Circumvention of Claxon Media:

You agree that you shall not, under any circumstances, directly contact nor solicit any of the advertisers(s) displaying advertisements through the Claxon network.

Cancellation or Withdrawal:

You may withdraw from participation in the Claxon Media network and/or terminate this agreement with or without cause at any time by removing the Claxon Media provided advertising code from your web properties. Claxon Media may at any time temporarily suspend or permanently terminate any web publisher for any reason. Claxon Media will, upon termination, issue payment for all outstanding advertising revenue generated in accordance with this agreement.

Warranty or Guarantee:

Claxon Media makes no guarantee regarding the level of advertising impressions, the timing of delivery of such impressions, or the amount of any payment to be made to the web publisher under this agreement. Claxon Media does not warranty the appropriateness, fitness, or performance of any ad displayed on the Claxon Media Network. Claxon Media has no liability with respect to the ads run on the Claxon Media network.

Indemnity:

You agree to indemnify, defend and hold Claxon Media, its agents, affiliates, subsidiaries, directors, officers, employees, and applicable third parties (e.g. relevant advertisers, consultants and contractors) harmless from and against any and all third party claims, liability, loss, and expense (including damage awards, settlement amounts, and reasonable legal fees), brought against Claxon Media, its agents, affiliates, subsidiaries, directors, officers, employees, and applicable third parties arising out of, related to or which may arise from your use of the Claxon Media Network.

This Agreement shall be governed by the laws of Pennsylvania. Any dispute or claim arising out of or in connection with this agreement shall be adjudicated in Philadelphia County, Pennsylvania. The failure of Claxon Media to require the performance of any one provision shall not alter Claxon Media's right to uphold any and all other provisions of this agreement.
